RESOLUTION AMENDING BYLAWS OF

PINE LAKES RANCH HOMEOWNERS ASSOCIATION, INC.

Those certain Bylaws recorded with the Declaration of Covenants, Conditions and Restrictions of Pine Lakes Ranch, recorded in the office of the Recorder of Valley County, Idaho, on the 15^th day of October, 1974, as Instrument No, 83372 are amended as follows:

“ARTICLE VII, Amendments.  1. BY-LAWS: The By-Laws of this corporation may be altered, amended, or new By-Laws adopted, by the affirmative vote seventy-five percent (75%) of the Votes of the Association held by Members who are present or represented by proxy at a properly noticed meeting of the members called for that purpose, and at which a quorum exists.”

The above resolution was adopted by the affirmative vote of seventy-eight percent (78%) of the members at the annual meeting of the corporation held on November 9, 2002.
